Important Changes to Malta’s Beneficial Ownership Regulations

On July 10th, 2025, Malta introduced key amendments to the Companies Act (Register of Beneficial Owners) Regulations through Legal Notice 127 of 2025. These changes are part of Malta’s continued implementation of the Sixth Anti-Money Laundering Directive (Directive (EU) 2024/1640), aimed at enhancing transparency and strengthening efforts to combat money laundering and terrorist financing.

1. Access to Beneficial Ownership Information Has Expanded
Under the revised regulations, individuals who can demonstrate a legitimate interest in preventing money laundering or terrorist financing may now request access to a company’s Beneficial Ownership (BO) records. While access remains regulated, this marks a shift toward greater transparency in line with EU anti-financial crime initiatives.
2. New Statutory Forms Are Now Mandatory
If your company is submitting or updating BO information, be aware that new statutory forms must now be used. The previous versions of these forms are no longer valid, so it's essential to ensure your documentation is up to date to avoid delays or rejections.
3. All Nationalities Must Now Be Declared
One of the most practical changes introduced is the requirement for all beneficial owners to declare all nationalities they hold. This information must be included in the upcoming Annual BO Confirmation Form.
If a beneficial owner holds dual or multiple nationalities, it’s important to update this information as soon as possible to stay compliant.
